1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Confidential Trading Pvt. Ltd. (“CTPL”, “Company”, “we”, “us”, or “our”), a company registered under the laws of Nepal, concerning your access to and use of our website at ctpl.com.np (the “Site”) and any related services, including product inquiries, distributor applications, and business communications.

By accessing the Site, submitting inquiries, or applying for distributorship, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Site.

2. Nature of Business and Services

CTPL operates as a premier importer and distributor of industrial and commercial goods in Nepal. Our website serves as a business-to-business (B2B) platform for:

• Showcasing our portfolio of represented brands and products
• Providing distributor location information
• Accepting business inquiries via contact forms
• Processing distributorship applications

Important: The Site does not facilitate direct consumer sales, e-commerce transactions, or payment processing. All commercial partnerships, distributorship agreements, bulk purchase contracts, and supply arrangements are governed by separate, negotiated written agreements that supersede these general web terms.

3. Distributorship Applications

Individuals or entities interested in becoming authorized distributors may submit applications through our website. By submitting an application, you acknowledge and agree that:

• Submission does not guarantee approval or create any contractual relationship.
• All applications are subject to review, due diligence, and approval by CTPL management at its sole discretion.
• We may request additional documentation (company registration, VAT/PAN certificates, financial references, infrastructure details) during evaluation.
• We reserve the right to reject any application without stating reasons.
• If approved, a separate Distributorship Agreement will be executed governing the commercial relationship.

4. Intellectual Property Rights

Unless otherwise indicated, the Site and all its contents — including but not limited to source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, logos, trademarks, service marks, brand names, and product imagery (collectively, the “Content”) — are owned or controlled by CTPL or licensed to us, and are protected by copyright, trademark, and other intellectual property laws of Nepal and international treaties.

Brand names, logos, and product images displayed on the Site are the property of their respective brand principals/manufacturers and are used with authorization. CTPL claims no ownership over third-party brand intellectual property.

You may not reproduce, distribute, modify, create derivative works, publicly display, perform, republish, download, store, or transmit any Content without our prior written consent, except for temporary caching for personal, non-commercial browsing or as permitted by law.

5. User Conduct and Representations

By using the Site, you represent, warrant, and agree that:

7. Limitation of Liability

To the maximum extent permitted by applicable law in Nepal:

• CTPL shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, data, or business opportunities) arising from your use of or inability to use the Site.
• Our total aggregate liability for any claims arising from these Terms or your use of the Site shall not exceed the amount, if any, paid by you to CTPL in the 12 months preceding the claim (or NPR 10,000 if no payment was made).
• We are not liable for any errors, omissions, interruptions, defects, delays in transmission, or system failures.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under Nepal law.

8. Indemnification

You agree to indemnify, defend, and hold harmless CTPL, its officers, directors, employees, agents, and affiliates from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from or related to: (a) your breach of these Terms; (b) your use of the Site; (c) any information you submit; (d) your violation of any law or third-party rights.

We reserve the right, at our sole discretion, to:

• Modify, suspend, or discontinue any aspect of the Site at any time without notice.
